合 同 内 容
NA（以下简称甲方）与 Design Institute Co., Ltd.（以下简称乙方）就 Automobile Industrial Park项目建设的项目管理工
作进行了充分协商，并就甲方委托乙方进行Automobile Industrial Park项目建设的项目管理工作达成如下合同条款，以便
双方共同遵守。
1、本合同由以下各部分组成：
下列文件将成为构成合同的一部分，即
a).项目管理合同条款（第一部分：标准条款和第二部分：特殊条款）；
b).附录，即
附录A －工作范围
附录B －甲方的职责
附录C – 报酬和支付
2、本合同中的词语表达将与以下项目管理合同中提及的词语表示同样的含意。
Content
LCS ASTANA (hereinafter referred to as Party A) through fully consultation with Dongfeng Design Institute Co., Ltd.
(hereinafter referred to as Party B) on the construction management of Kazakhstan Automobile Industrial Park project, hereby
the party A authorized the party B to response for the construction of management of Kazakhstan Automobile Industrial Park
project and agreed enter in contract under the terms and conditions as stipulated below:
Contract shall be valid and binding upon the parties hereto.
1. This contract is constituted by the following parts:
The following files shall be integrated with the contract, known as:
a). The contract terms of project management ( First part: standard clause and the second part: special clause );
b). Appendix: known as:
Appendix A - Working range
Appendix B - Duty of Party A
Appendix C -Remuneration and Payment
2. The word expression in this contract shall present the same meaning that mentioned in this following contract of project
management.

1.1 “合同”指项目管理合同，第一部分：标准条款；第二部分：特殊应用条款以及附录A（工作范围），附录B（甲方的
职责）, 附录C（报酬和支付）。
1.2 “协定补偿”指第二部分中定义的附加费和合同的附录C中可支付的。
1.3 “建筑”指专业建筑或甲方指定的项目建筑机构（或任何一个正式指定的另外的后继者）并书面通知至乙方。
1.4 “甲方”指合同中雇佣了乙方，甲方及其认可受托人的合法接任者。
1.5 “施工合同”指合同、采购定单和任何承包商执行的其它雇拥协议以及构成合同、定单和协议的所有文件。
1.6 “乙方”指合同中受雇于甲方的独立专业公司，乙方及其认可受托人的合法接任者。
1.7 “承包商”指执行的个人、机构和公司。
1.8 “日”指任何一个午夜到第二个午夜之间的一段时间。
1.9 “设施”指依照第23条和附录C，为了支持乙方工作，由甲方开设的信用证和（或）其它银行证书。
1.10 “月”指依照阳历，以该月任何一天开始的一个月的时间。
1.11 “协议的一方和双方”指甲方和乙方，“第三方”指合同下文要求的其它个人或实体。
1.12 “项目”指在第二部分中规定的应提供的工作。
1.13 “项目组”指设计组和项目公司。
1.14 “服务”指乙方依照协议提供的服务，包括基本服务，附加服务及额外服务，在第4条中有所规定。
1.15 “工作”是为了项目的完成而实行的长久性工作（包括提供给甲方的物品和设备），也包括附录A中的项目说明和描
述的工作。
2. 说明
2.1 协议中的标题是为了方便而设立，具体内容应服从于条款。
2.2 如果任何协议条款之间有冲突存在，则以后写入协议的为准，除非在第二部分中另有说明。
First part: Standard Clause
Definition and Explanation
1. Definition
Unless the terms or context of this contract otherwise provide, the following terms shall have the meanings set out below:
1.1. “contract” means the project management contract: first part: Standard clause; Second part: Special clause and Appendix
(working range), Appendix B (the duty of Party A), Appendix C (remuneration and payment).
1.2. “Compensation Agreement” means the extra charge defined in the second part and be payable in appendix C.
1.3. “Construction” means professional construction or institution of construction project designated by Party A (or other
successor formally designated) and inform to Party B in writing.
1.4. “Party A” means the party employed the Party B, and the legal successor designated by Party A.
1.5. “Construction Contract” mean contract, purchasing order and any employ agreement performed by that contractor, and the
contract, order, and documents constitute the part of contract..
1.6. “Party B” means the independent specialized company that employed by Party A, and the legal successor designated by
Party B.

1.7. “Contractor” means individual, organization and company to perform this contract..
1.8. “Day” means the time from one mid-night to the second mid-night.
1.9. “Facilities” means the credit and (or) other bank certificate offered by Party A in accordance with article 23 and appendix C
in order to support the operation of Party B..
1.10. “Month” means one month form any day of this month according to the date of solar calendar.
1.11. “The party of the agreement and both party” means the party A and party B, the “third party” means other individual or
entities in context of this contract..
1.12. “Project” means the work that should be offered stipulated in the second part.
1.13. “Project Team” means to design group and project company.
1.14. “Service” means the service offered by party B in accordance with this agreement, including basic service, additional
service and extra service, stipulated in article 4.
1.15. “Work” is the long term work for the completion of the project (include offering materials and equipments to Party A), also
include the project description and illustrated work in appendix A.
2. Explanation
2.1. The title in agreements is set up for convenient, the concrete content shall subject to the clause.
2.2. If any confliction occurred in the agreement, that latter shall be treated as a criterion, unless otherwise mentioned in the
second part.
